The paper develops conceptual approaches to the analysis of the corporate governance. It includes goals, functions, principles, and methods to evaluate a level of corporation development and managers' competence, the effectiveness of the stakeholders' interests' regulation, etc. The conceptual approaches to the corporate governance analysis can provide a systematic view of all aspects of internal review and evaluation and can help to achieve the goals of organizational governance analysis. The functions and tasks of the analysis and corporate governance evaluation should be defined and understandable not only for those who evaluate but also to those who need its results. The development of appropriate analysis methods makes it possible to elaborate efficient technology, as well as to formulate an expert opinion for every specific corporate governance situation.
